Welcome to X'IVORA. In these Terms, "we", "us" and "our" mean P&A Ventures, which owns and operates the X'IVORA brand and the website at xivora.store (the "Services"). "You" means the person using the Services.

These Terms of Service, together with our Privacy Policy, Shipping Policy and Return, Refund & Replacement Policy, govern your use of the Services and any purchase you make. Please read them carefully, as they include important information about pricing, delivery, liability and your rights.

Our store is powered by Shopify, which hosts the website and enables us to provide the Services. By visiting or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Eligibility and Your Account

  • You must be at least 18 years of age to buy from us. By placing an order, you confirm that you are 18 or older and legally able to enter into a contract under Indian law.
  • You agree that the information you give us — your name, contact, billing, shipping and payment details — is accurate, current and complete, and that you are authorised to use the payment method provided.
  • If you create an account, you are responsible for keeping your login details secure and for all activity under your account. You may not sell, transfer or share your account.

2. Our Products

  • We take care to show our products accurately, but the colour and appearance of a product on your screen may differ from the actual item, depending on your device and its settings.
  • Product descriptions, packaging and availability may change at any time without notice. We may limit quantities, or decline to serve a particular order, person or location, at our reasonable discretion.
  • X'IVORA is responsible for the marketing, sale and customer experience of the fragrances sold here. The fragrances are produced by our authorised manufacturing partner, whose name and address appear on every product carton. We do not manufacture in-house and do not claim to.

3. Product Use and Safety

Our products are alcohol-based Eau de Parfum, for external use only. Please use them responsibly:

  • Keep away from eyes, broken or irritated skin, flame and direct heat. The product is flammable.
  • A patch test is recommended before first use. If any irritation occurs, stop using the product.
  • How long a fragrance lasts, and how strongly it projects, varies from person to person with skin type, body chemistry, climate and how it is applied. For this reason, longevity and projection cannot be guaranteed.
  • Keep out of the reach of children.

4. Orders

  • When you place an order, you are making an offer to buy. A contract is formed only when we accept your order, and we may decline or cancel an order at our reasonable discretion, including where a product is unavailable or a pricing error has occurred.
  • Payment must be received and verified before we accept and dispatch an order.
  • Please review your order carefully before paying. Cancellation may not be possible once an order has been accepted or dispatched. Please see our Return, Refund & Replacement Policy.
  • Our products are sold for personal use only, not for commercial resale or export.

5. Prices and Payment

  • All prices are shown in Indian Rupees (INR) and are inclusive of all applicable taxes, in line with the maximum retail price (MRP) displayed on the product. Any delivery charge is shown separately at checkout before you pay.
  • The price you pay is the price displayed at the time you place your order, as confirmed in your order confirmation email.
  • Prices, discounts and promotions may change without notice. Promotions may carry their own terms, which prevail over these Terms to the extent of any conflict.
  • Payments are processed by our third-party payment gateway. You confirm that the payment details you provide are true, correct and yours to use.

6. Shipping and Delivery

  • We ship within India only. Delivery timelines are estimates and are not guaranteed, as they depend on the courier network and factors outside our control.
  • We remain responsible for your order in transit. If a parcel is damaged, leaking or lost on the way to you, we will put it right in accordance with our Shipping Policy and Refund & Replacement Policy. Please report any transit damage or leakage within 48 hours of delivery.

7. Cancellations, Returns and Refunds

For opened fragrances, returns are limited on grounds of hygiene and safety. Replacements and refunds are available where a product arrives wrong, damaged, leaking or defective. Your rights and the process are set out in full in our  Refund & Replacement Policy, which forms part of these Terms.

8. Intellectual Property

  • The Services and their content — including the X'IVORA name, logo, product names, text, images, graphics and their arrangement — are owned by P&A Ventures or its licensors and are protected by Indian and international intellectual property law.
  • You may use the Services for your own personal, non-commercial use. You may not copy, reproduce, republish, distribute, modify or create derivative works from any content without our prior written consent.
  • "X'IVORA" and "Essence of Elegance", together with our logo, are trademarks of P&A Ventures. You may not use them without our written permission.
  • Shopify's marks belong to Shopify; all other marks belong to their respective owners.

9. Third-Party Tools and Links

The Services may give you access to third-party tools and links to third-party sites that we neither control nor monitor. These are provided "as is", without warranty, and your use of them is at your own risk and subject to the third party's own terms. We are not liable for them.

10. Relationship With Shopify

X'IVORA is powered by Shopify, which enables us to provide the Services to you. Any sale or purchase you make is made directly with X'IVORA. You acknowledge that Shopify is not responsible for any aspect of a sale between you and X'IVORA, including any injury, damage or loss resulting from products or services purchased, and you release Shopify and its affiliates from all claims arising from your transactions with X'IVORA.

11. Privacy

Personal data we collect through the Services is handled in accordance with our Privacy Policy. As the Services are hosted by Shopify, some data is also processed by Shopify and may be transferred outside India in order to provide the Services. Please read our Privacy Policy for the detail.

12. Feedback and Reviews

  • If you send us feedback, suggestions, reviews or other content, you grant us a worldwide, royalty-free, perpetual licence to use, reproduce, adapt, publish and display it, including for marketing.
  • You confirm that you own or have the rights to the content you submit, that it is truthful, and that it does not infringe anyone's rights or contain unlawful, offensive or malicious material.
  • We may, but need not, monitor, edit or remove content, and we are not obliged to keep it confidential or to pay for it.

13. Errors, Inaccuracies and Omissions

Occasionally the Services may contain a typographical error, inaccuracy or omission relating to a description, price, promotion, charge, timeline or availability. We may correct any such error and change, update or cancel an affected order, even after it has been submitted, without prior notice. Where we cancel a paid order for this reason, we will refund you in full.

14. Prohibited Uses

You may use the Services only for lawful purposes. You agree not to use them to break any law, infringe anyone's rights, transmit false or misleading information, harass or harm any person, upload viruses or malicious code, send spam, harvest others' data, or interfere with or bypass the security of the Services. We may suspend or terminate your access if you breach these Terms.

15. Automated Access and Agents

You may not use robots, scrapers, data-extraction tools or other automated means to access the Services without our permission. Where you use an autonomous or semi-autonomous software agent to interact with the Services, it must clearly identify itself as an agent, must not disguise itself as human or circumvent measures that distinguish humans from software, and must respect any technical limits we set. We may restrict or block automated access.

16. Termination

We may suspend or end your access to the Services at our reasonable discretion, and you remain liable for amounts due up to that point. Provisions that by their nature should survive termination — including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Consumer Rights, Indemnification, Governing Law and the General terms — continue to apply.

17. Disclaimer of Warranties

The information on the Services is provided for general purposes only, and you rely on it at your own risk. Except as expressly stated by us, and to the extent permitted by law, the Services and all products are provided on an "as is" and "as available" basis, without warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free. Nothing in this section affects the statutory rights described in Section 19.

18. Limitation of Liability

To the fullest extent permitted by law, X'IVORA, P&A Ventures and our partners, directors, officers, employees, agents and service providers (and those of Shopify) will not be liable for any indirect, incidental, special, punitive or consequential loss, or any loss of profit, revenue, data or goodwill, arising from your use of the Services or any product bought through them. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded under applicable law. This section is subject to Section 19.

19. Your Rights as a Consumer

Nothing in these Terms limits or excludes any right you have under the Consumer Protection Act, 2019 or other applicable Indian law that cannot lawfully be limited or excluded. Where any provision of these Terms conflicts with such a right, that right prevails.

20. Indemnification

You agree to indemnify and hold harmless X'IVORA, P&A Ventures, Shopify and our respective affiliates, officers, employees and service providers from any claim, loss, liability or reasonable legal cost arising from your breach of these Terms, your violation of any law or third-party right, or your misuse of the Services.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to Section 19, the courts at Raipur, Chhattisgarh will have jurisdiction over any dispute arising from these Terms or the Services. Nothing in this section prevents a consumer from approaching the consumer dispute redressal forum available to them under the Consumer Protection Act, 2019.

22. General

  • Severability: if any provision is found unlawful or unenforceable, the rest of these Terms remain in force.
  • Waiver: our failure to enforce a provision is not a waiver of it.
  • Entire agreement: these Terms and the policies referred to in them are the entire agreement between you and us and replace any earlier version.
  • Assignment: you may not assign your rights without our consent; we may assign ours in connection with a business transfer.
  • Headings are for convenience only.

23. Changes to These Terms

We may update these Terms from time to time. The current version is always on this page, and material changes take effect on the date stated in our notice. Your continued use of the Services after a change means you accept the updated Terms.
